Biography

    Elizabeth Lathlean is a Special Counsel in Gilbert + Tobin’s Corporate Advisory group, specialising in Charities + Social Sector.

    Elizabeth has significant experience providing legal advice and assistance to charities, not-for-profits and social sector organisations, including on charity and not-for-profit regulation and compliance, mergers and acquisitions, restructuring transactions and corporate governance.

    Elizabeth has a Master of Laws from the University of Sydney and a Bachelor of Laws / Bachelor of Communication and Media Studies (Journalism) from the University of Wollongong. Elizabeth is admitted as a solicitor of the New South Wales Supreme Court and the High Court of Australia. She is also admitted as a solicitor in England and Wales (non-practising).
     

    Elizabeth is a volunteer director of CBM Australia, a registered charity and international development organisation.

    Elizabeth's experience includes advising on:

    • Structuring and establishment: establishing new entities and advising on the most appropriate structure type, such as company limited by guarantee, incorporated association, Aboriginal and Torres Strait Islander Corporation or trust. 
    • Charity and not-for-profit tax concessions: obtaining and supporting ongoing compliance with the requirements for various Commonwealth and state tax concessions, including income tax exemption, deductible gift recipient (DGR) endorsement (through various means, including by way of specific listing), fringe benefits tax concessions, stamp duty, land tax and payroll tax relief. 
    • Restructures: advising on group restructures and consolidations, including associated issues relating to Commonwealth and state registrations and tax concessions. 
    • Mergers and acquisitions: advising on mergers and acquisitions, including sale and acquisition strategies for both charitable and for-profit entities, asset and business sales, share sales and member transfers, vendor and purchaser due diligence, transitional governance and obtaining or maintaining Commonwealth and state registrations and tax concessions.
    • Constitutions and corporate governance documents: undertaking corporate governance reviews, preparing and updating constitutions and other governance documents (including board charters, conflicts of interest and related party transaction policies and committee charters). 
    • Registrations and working with regulators: registering organisations and working with regulators such as the Australian Charities and Not-for-profits Commission (ACNC), the Australian Taxation Office (ATO), the Australian Securities and Investments Commission (ASIC) and state-based regulators. 

    Elizabeth was recognised in the areas of Corporate Law.
