Biography

Stanley is a partner in our Banking and Infrastructure group.

He specialises in securitisation, structured finance and derivatives. Stanley is trusted by clients for his top tier service, technical expertise, sound commercial advice and knowledge of the market.

He has advised clients on complex financial structures, including cross-border securitisations, securitisations used for acquisition financings, master trust structures, covered bond structures and risk retention facilities.  

He regularly acts for arrangers/dealers, warehouse financiers, financial advisors, risk retention financiers and trustees in a variety of asset classes.

Stanley also advises a wide range of issuers on their securitisation programs, including residential and commercial mortgage originators, fintechs, consumer finance originators and auto/equipment finance originators.

Experience

Stanley’s experience includes advising:

  • A large non-bank mortgage originator with more than A$3bn in residential and commercial mortgages on the establishment of a master securitisation program and establishment of various warehouse facilities.

  • Westpac Banking Corporation on the establishment of a global receivables purchase program for Flight Centre (ASX listed) in 2024.

  • A consumer finance originator on the establishment of a master securitisation program and establishment of various warehouse facilities, and their inaugural capital markets term securitisation in 2024.

  • The arranger/dealers to the A$350m inaugural capital markets term securitisation by BNK Banking Corporation Limited in 2024.

  • A non-bank mortgage originator on the establishment of a master securitisation program in 2023 and the establishment of multiple warehouse facilities.

  • A vehicle loan originator on the establishment of a master securitisation program and the acquisition of a portfolio of vehicle loans funded via a securitization structure in 2024.

  • The arranger/dealers on a Firstmac term securitisation in 2024 which was the second largest term securitisation by volume in the Australian market.

  • The financiers relating to the acquisition by Latitude of the David Jones credit card business from American Express in 2024.

  • A securitisation financier to Sigma Healthcare in 2024 in connection with the merger between Sigma and Chemist Warehouse.

  • The Wingate Group in connection with an acquisition of the group by CapitaLand Investment in 2024.

  • Skycredit and Nimble Australia on a merger/acquisition involving a restructuring of multiple securitisation structures in 2024.

  • The arranger/dealer to the inaugural capital markets term securitisation by MA Financial in 2023.

  • Butn Limited (ASX listed) on various term securitisations relating to trade receivables from 2018 to date.

  • The financiers in relation to the A$8.2bn acquisition of GE’s credit cards, personal loans, auto loans and residential loans businesses (now Latitude Financial Services) by a consortium comprising KKR, Värde Partners and Deutsche Bank in 2015, which was the first large-scale credit card securitisation in the Australian market.
