Sarah Turner

Biography

Sarah is a partner in our Corporate Advisory group.

She specialises in equity capital markets transactions, mergers and acquisitions (particularly takeovers and schemes of arrangement), advising on securities law and Listing Rule matters and general corporate advisory and governance work. Sarah co-authored the Ten Year Review of the Takeovers Panel. Sarah is also the author of a firm digest of Takeovers Panel cases, The Gilbert + Tobin Guide to Buying a Public Company and multiple articles and presentations on takeover and Board related matters.   

Experience

Sarah’s experience includes advising:

  • De Grey Mining regarding its placement and 1 for 7.95 pro-rata accelerated non-renounceable entitlement offer ($600 million total) and on its fully underwritten $300 million two tranche placement.

  • West African Resources regarding its placement to institutional and sophisticated investors to raise up to $150 million to fund pre-production activities at its Kiaka Gold Project.

  • IMDEX Limited on its $224 million equity raising (consisting of a fully underwritten $221 million ANREO and institutional placement, and a $3 million conditional placement) to fund the acquisition of Devico AS.

  • BCI Minerals on its $360 million capital raising, as part of its broader $1.2 billion funding package for its Mardie Salt and Potash project.

  • Sandfire Resources on its fully underwritten Entitlement Offer to raise $200 million and on its fully underwritten equity raising to fund the acquisition of MATSA.

  • Mincor Resources NL on its defence of an on-market bid by Wyloo Consolidated Investments Pty Ltd for an implied equity value of $760 million.

  • Pacific Smiles on its defence following receipt of a non-binding proposal from Genesis Capital and on its proposed $327 million acquisition by NDC Bidco Pty Ltd (Crescent Capital) by scheme of arrangement. 

  • Deep Yellow on its proposed $687 million all-scrip merger with Vimy Resources Limited to consolidate and build a Tier-1, multi-jurisdiction and leading uranium company.

  • Panoramic Resources on its $312 million defence of the IGO takeover bid.
