Sam is a partner in our Corporate Advisory group

Sam uses his flexible skillset to help clients structure, negotiate and execute strategic corporate transactions. He has particular expertise in public and private M&A, private equity and equity capital markets. 

Sam was recognised by The Best Lawyers in Australia for ‘Mergers and Acquisitions Law’ in 2023 and by Doyle’s Guide as a ‘Corporate & Commercial Law Rising Star’ in 2022. 

Experience

Sam’s experience includes advising:

  • Sigma Healthcare on its proposed $8.8 billion reverse takeover and ASX listing of Chemist Warehouse.

  • TPG on its acquisition of InvoCare for approximately $1.8 billion.

  • OZ Minerals in relation to the $9.6 billion acquisition by BHP by scheme of arrangement.

  • Alludo on its proposed acquisition of Nitro Software by concurrent scheme and takeover for $530 million.

  • Atlas Arteria on its response to IFM’s acquisition of a 19% interest (valuing the company at over $7.6 billion) and on its proposed US$2 billion acquisition of Chicago Skyway and associated $3 billion equity raising.

  • Tabcorp on the $10 billion demerger of its lotteries business, The Lottery Corporation.

  • QSuper on its participation in the $24 billion acquisition of Sydney Airport by Sydney Aviation Alliance by scheme of arrangement.

  • Various private funds including KKR, TPG, Livingbridge, Navis Capital Partners, Viburnum Funds and Baring Vostok Capital Partners in relation to corporate transactions.

  • Amcor on its US$6.8 billion merger with Bemis Company Inc and redomiciliation to Jersey with an NYSE listing via scheme of arrangement (valued at $17.7 billion).

  • Healthscope on its $4.4 billion scheme of arrangement and simultaneous takeover bid by Brookfield.

  • OZ Minerals on its $440 million acquisition of Avanco Resources by takeover bid.

  • Aconex in relation to the $1.6 billion acquisition by Oracle by scheme of arrangement.
