Mark Goldsmith

Biography

Mark is a partner in our Tax group.

He has over 35 years of experience in domestic and cross border M&A for both strategic and financial buyers. He has also been actively involved in all forms of M&A transactions (including tax due diligence), including private equity-based deals, public markets transactions, IPOs and the development and use of various funding structures including cross border funding structures.

Mark was a member of the Board of Tax Advisory Panel and was frequently requested by the Australian Taxation Office (ATO) and Treasury to assist in the development of tax policy and to review drafting of new areas of the tax law.

Mark has also represented clients in a variety of complex tax disputes including the application of the general anti-avoidance provision (Part IVA); the interpretation of double tax treaties; branch banking and Division 7A.

Mark is an expert in his field and is regarded as the 'go to person' in the market for complex M&A and advisory matters.

Experience

Mark’s experience includes advising:

  • Crescent Capital and NDC on the proposed acquisition of the listed company, Pacific Smiles Group including conducting purchaser tax due diligence.

  • Australian Clinical Labs on its IPO (including conducting tax due diligence) and structuring advice for the proposed reverse takeover of Healius Ltd (Healius).

  • Adamantem Capital on its proposed sale of 100% of the Legend Group including conducting vendor due diligence.

  • Adamantem Capital on the acquisition of the Cardiology business out of Genesiscare (including conducting purchaser tax due diligence).

  • Vast Renewables Limited, on the completion of its merger with Nabors Energy Transition Corp, a US-listed special purpose acquisition company, and listing of the combined company, Vast, on Nasdaq.

  • Morpheus Advisors LLC on a structuring advice for a fund establishment in Australia.

  • Mercury Capital on vendor assist services in relation to the proposed sale of Mercury Capital's interest in Fiftyfive5.

  • Mercury Capital on its acquisition of the Green Option Group (including conducting tax due diligence).

  • Crescent Capital on Fund structuring and tax review of Crescent Fund VII (an Australian private equity fund).

  • KKR on the sale of their 50% interest in the Seven Network.

  • Publishing and Broadcasting Limited on the separation and effective sale of 50 per cent of PBL’s media assets to CVC Private Equity.
