Biography

Hanh is a partner in our Tax group.

Hanh distinguishes herself among Australian advisors with a unique combination of extensive expertise and deep insight into diverse tax matters. She is recognised for her ability to seamlessly integrate technical knowledge with a strong understanding of commercial implications.

Her indirect tax advisory track record spans a wide array of transactions, ranging from infrastructure projects to share, asset, and business sales, internal corporate reorganisations, takeovers, initial public offerings, and substantial financing and refinancing endeavours.

Hanh brings considerable experience in effectively navigating discussions with tax authorities to procure favourable rulings and assessments for her clients.

Hanh leads our indirect tax practice, focusing on GST and stamp duty Australia wide.

Experience

Hanh’s experience includes advising:

  • Crescent Capital and NDC on the proposed acquisition of the listed company, Pacific Smiles Group including conducting purchaser tax due diligence.

  • Australian Clinical Labs on its IPO (including conducting tax due diligence) and structuring advice for the proposed reverse takeover of Healius Ltd.

  • Adamantem Capital on its proposed sale of 100% of the Legend Group including conducting vendor due diligence.

  • Adamantem Capital on the acquisition of the Cardiology business out of Genesiscare (including conducting purchaser tax due diligence).

  • Mandated Lead Arrangers, Underwriters and Bookrunners, Morgan Stanley and Citibank (MLAUBs), on the A$318 million financing of Blackstone’s acquisition of the Student One housing platform (Student One).

  • Walker Corporation in respect of a $1 billion large scale mixed-use commercial and retail development in Adelaide, South Australia.

  • MP Materials Corp on assisting with various structuring options in relation to a confidential acquisition. This involved how to best affect the merger from an income tax and stamp duty perspective.

  • Vitol Asia Pte Ltd on its acquisition, by way of transfer and novation, of debt from a Singapore commodity trader.

  • APN Property Group on its $320 million acquisition by Dexus.

  • Morpehus Advisors LLC on a structuring advice for a fund establishment in Australia.
