Darren Fittler

Biography

Darren Fittler is the founder and lead partner of our Charities and Not-For-Profit group.

He specialises in the provision of legal assistance to charities, not-for-profits and social impact organisations. Darren’s combination of sector expertise and corporate and commercial law experience enables him to provide innovative and strategic legal advice and practical guidance on charity mergers, governance, collaborations, charitable fundraising, charity and tax regulation and compliance and much more.  

Darren was the recipient of the 2014 Human Rights Commission Law Award in recognition of his long-term commitment to assisting not-for-profit and charitable organisations. Darren is a volunteer director of Vision Australia and has previously held roles on the boards of numerous charities. Darren also attended meetings at the United Nations in New York, helping in the development of the International Convention on the Rights of Persons with Disability. 

Experience

Darren’s experience includes advising:

  • Little Company of Mary Healthcare on its acquisition of Japara Healthcare for approximately $380 million, and then flipping 80+ Japara entities into charities to fit LCM Healthcare’s group structure and charity registrations.

  • For Purpose Investment Partners with transaction structuring, charity law compliance and duty exemptions on multiple matters (including both the Luson Aged Care and Signature Aged Care acquisitions).

  • AXA IM on its strategic partnership with Housing Australia (HA) and St George Community Housing to develop affordable housing, with a project in Westmead being the first under a broader $300 million financing commitment from HA.

  • Sydney Breast Cancer Foundation on its spin-out from Chris O’Brien Lifehouse into a newly established separate legal entity and registered charity, including effecting the transfer and obtaining endorsement as a Deductible Gift Recipient (DGR).

  • Australian province of the society of Jesus (The Jesuits) on restructuring its Australia wide operations to streamline many separate entities, including the Australian Jesuit operated schools.

  • Achieve Australia on numerous acquisitions of disability services providers, proactive governance, and other matters.

  • City West Housing on complex governance and structuring matters, including members powers, retention of charity registration, retention of community housing provider registration, stamp duty exemption, and related matters.

  • Sydney Children’s Hospital Foundation on its acquisition of the charitable fundraising arm of the NSW Government Children’s Hospitals Network.

  • Multiple organisations on the formation and successful charity registration and DGR endorsement, including by way of specific listing in tax law.

  • Multiple organisations on governance, charity compliance and charitable fundraising, including ACNC reviews.

  • Multiple organisations with drafting and negotiating collaboration agreements, MOUs and commercial contracts.
