Biography
Alastair is a partner in our Private Capital and Capital Markets groups.He specialises in advising private equity sponsors and other clients across public and private Mergers and Acquisitions and equity capital market transactions. Regularly advising on take privates, carve-outs, consortium deals, he’s also well versed in securities offerings and other corporate transactions. With cross-sector experience, he specialises in defence, financial services and technology matters.
Alastair has represented many of the Australian market’s leading financial sponsors, including Blackstone, Carlyle, CPE Capital, Anchorage Capital Partners, Potentia Capital and Quadrant Private Equity. He has also advised on a number of high-profile initial public offerings and follow-on raisings for various companies.
Experience
Alastair’s experience includes advising:
CPE Capital on the acquisition of the Ambrose Construct Group and Inserve, the acquisition of Banksmeadow Recycling, the sale of Jaybro to Quadrant Private Equity and the sale of Dutton Group to the Sojitz Corporation.
Quadrant Private Equity on the formation of the St Ives Home Care joint venture with RAC WA, the subsequent acquisitions of Injury Treatment and the Sue Mann Group, and the sale of the Generation Health and myHomecare businesses.
Anchorage Capital Partners on the carve-out of the GBST wealth management business from FNZ and the subsequent acquisitions of Creativemass and Advice Intelligence.
Potentia Capital and Five V Capital on the sale of Ascender HCM to Dayforce (NYSE:DAY) (formerly Ceridian).
Macquarie Asset Management on the $2.6 billion acquisition of Bingo Industries (ASX:BIN) by scheme of arrangement.
K1 Investment Management on its $486 million acquisition of ELMO Software Limited (ASX:ELO) by scheme of arrangement.
Carlyle and Pacific Equity Partners on their proposed $2.88 billion acquisition of Link Market Services (ASX:LNK) by scheme of arrangement.
Blackstone and Vista Equity Partners on the >$US1 billion acquisition of Energy Exemplar.
Carlyle on the $517 million sale of its 50% interest in Coates Hire and Carlyle International Energy Partners on its proposed acquisition of offshore oil and gas operations.
EIG and Harbour Energy on their proposed US$13.5 billion acquisition of Santos (ASX:STO) by scheme of arrangement.
ASDAM on the acquisition of various aviation MRO and manufacturing businesses, including Marand Precision Engineering, TAE Aerospace, RUAG Australia and Levett Flight Engineering.
Hollard Insurance on the carve-out of CommInsure General Insurance from CBA, and related long-term strategic alliance and distribution arrangements.
